Groople.com "Best Group Travel Video" Contest Official Rules

To enter, submit your video clip (4 minutes maximum length) to "youtube.com", and post your video on the YouTube group called "Groople Video Contest". Post your video by clicking on the following link to the Groople Video Contest Group on YouTube: www.Youtube.com/group/grooplecontest. Your video must include "Groople" in the title. Only one entry per contestant allowed. The contestant must be at least 21 years of age, a U.S. citizen and be the legal guardian or parent of children if shown in the video and have the legal right to enter the children in the Contest. The images submitted by the contestant, who must be the original photographer holding the copyright to the images (if any), must be free of any copyright, intellectual property, trademark or patent violations and must be the sole property of the contestant. The contestant indemnifies Groople for any breach of copyright, intellectual property, trademark or patent as a result of Groople using the images. Images taken by professional photographers may be subject to copyright restrictions and cannot be submitted. The images may be used in any manner whatsoever by Groople in connection with the groople.com website, advertising and promotions at the sole discretion of Groople. No claims whatsoever can be made against Groople for the use of the images. The contestant hereby grants the rights to Groople to publish the images in any form and to publish the first name and city of the contestant. Privacy Policy: All information provided through participation in this contest will be used by Groople and its agents only and the contact and personal information will not be sold, nor otherwise distributed without consent from the contestant.

Videos that include sculptures, statues, paintings, and other works of art will be accepted as long as they do not constitute copyright infringement or fraud. When video taping the artwork of others, it must be as an object in its environment and not a closeup of another person's art. Groople assumes no liability for copyright infringement. Spot editing (application of a change to a selected portion of a video) and red-eye removal are permitted for the purpose of improving the appearance of a video and to give it a more natural look. Elements or objects that do not exist in the original video shall not be added to an image: For example, you can not add an elephant under a person to make it look like the person is riding it. Obscene, provocative, or otherwise unsuitable content will not be considered, including nudity. Groople retains sole discretion as to what constitutes unsuitable content. All entries must be received by March 31, 2007. Contest NOT open to employees of Groople, its agents, and suppliers of this program and their families. Winners will be confirmed from among all entries received, by Promotion Partners, an independent judging organization whose decisions are final. The qualified videos will be on YouTube until midnight, March 31, 2007, to be voted upon by viewers of YouTube. You may encourage friends to watch your video. The winning video will be determined by the eligible video that is viewed the most times between the contest start date and midnight of March 31, 2007. Voting is limited to 1 vote per person per day.

No responsibility / liability is assumed for lost, misdirected, damaged, late or incomplete entries; or any technical computer difficulties; or any condition beyond the control of Groople that may cause the Contest to be disrupted or corrupted. Groople reserves the right, at its sole discretion, to suspend or cancel the Contest at any time if a computer virus, bug, or other technical problem effects the administration or security of the Contest. The contestant agrees that any and all disputes, claims, and causes of action arising out of or connected with this Contest, or any prize awarded, shall be resolved individually, without resort to any form of class action, and exclusively by arbitration in the State of Colorado; any and all claims, judgments and awards shall be limited to actual 'out of pocket' costs incurred, and in no event attorney's fees; and under no circumstances will the contestant be permitted to obtain awards for, (and the contestant hereby waives all rights to claim)punitive, incidental and consequential and any other damages, other than for actual out of pocket expenses, and any and all rights to have damages multiplied or otherwise increased. All issues and questions concerning the construction, validity, interpretation and enforceability of these official rules, or the rights and obligations of the contestant and Groople in connection with its worldwide website shall be governed by, and construed in accordance with, the laws of the State of Colorado, without giving effect of any choice of law or conflict of law rules or provisions, which would cause the application of laws of any jurisdiction other than the State of Colorado. Groople reserves the exclusive right, exercisable at any time, without notice, to amend, add to, delete from, alter or otherwise change these official rules. If any provision(s) is held by a court of competent jurisdiction to be contrary to law, then such provision(s) shall be construed, as nearly as possible, to reflect the intentions of the parties with the other provisions remaining in full force and effect. Groople reserves the right to disqualify any contestant for any legitimate reason including, but not limited to excessive repeat voting, cheating, tampering, automated voting, misuse of the website, etc. All votes will be verified before any prizes are awarded. Groople reserves the right to choose the winner based on verified results and at the judging agency's and Groople's discretion.

GRAND PRIZE: The contestant whose video receives the highest number of verified votes during the voting period will win 5 rooms for 4 nights at any of the 6,300 Wyndham Hotels in the U.S., Canada or Mexico, along with roundtrip airfare for 5 on Frontier Airlines (subject to restrictions/availability). Winners will be notified by phone or email. RUNNER UP PRIZES: Four additional "top 5" vote-getters will each receive 1 night stay at a La Quinta Inn. All video submissions become the property of Groople. Offer void where prohibited and is subject to all federal, state and local laws. Applicable taxes are the responsibility of the winner. Winner will be required to sign an affidavit confirming eligibility, travel and publicity release within 7 days of notification or prize will be forfeited and awarded to an alternate winner.
